Bank of America Corporation

Bank of America Corporation (BAC) is the listed parent holding company of a financial-services group. It is a Delaware corporation and a separate legal entity from its bank and nonbank subsidiaries. It is therefore not interchangeable with Bank of America, N.A. (BANA), the national-bank subsidiary, or with the marketing name “Bank of America.”

Parent role and selected holding chain

The corporation’s structure page, dated 2026-07-14, shows NB Holdings Corporation as a child holding company. In the selected chart, NB Holdings sits above BAC North America Holding Company, which sits above BANA. This supports the reported indirect path from BAC to BANA; it does not support a direct BAC → BANA holding claim.

The chart says it includes only selected client-facing or issuing subsidiaries and associated significant holding companies. Exhibit 21 likewise omits subsidiaries that are not significant in the aggregate under SEC rules. These sources cannot establish a complete corporate tree, every direct ownership percentage, or the ownership of unlisted entities.

Consolidated financial reporting

BAC’s 2025 results release reports, in millions of dollars, net income of $30,509 million, total assets of $3,410,394 million, total deposits of $2,018,729 million and total shareholders’ equity of $303,243 million at 2025-12-31. These are Bank of America Corporation and subsidiaries consolidated figures. They are not BANA stand-alone financial statements, NB Holdings parent-only figures, or a measure of any individual subsidiary’s assets or profitability.

The 2025 Form 10-K describes BAC as the parent corporation and identifies consolidated reporting as the relevant presentation. Financial or regulatory conclusions about a named subsidiary require that entity’s own filing or a source that expressly supplies a component-level allocation.

Governance snapshot

The current governance page identifies Brian Moynihan as Chair of the Board and Chief Executive Officer of Bank of America Corporation. It says he has been CEO since January 2010 and Board Chair since October 2014; it also notes he stopped serving as President in September 2025. This is a parent-company governance snapshot, not a complete management roster for BANA, NB Holdings, or the other subsidiaries.

Evidence boundary

The evidence here does not treat the group’s marketing name as a legal alias for BAC, imply that BAC directly owns BANA, or assign consolidated financial results, client counts, regulatory actions, contracts or liabilities to a particular subsidiary without entity-specific proof. It also does not infer that every entity in Exhibit 21 or the selected structure chart is directly owned by BAC.
